What you will do
Based in Tokyo, the Corporate Counsel, Japan is primarily responsible for performing and ensuring adequate legal and compliance services to the Company throughout Japan, and as applicable, working with other sub-functions providing subject matter expert legal services to the businesses including, the Corporate Development Office and the Compliance function, and other groups such as corporate secretary services, IP, litigation, labor and employment, as applicable.

The Corporate Counsel should be focused on forward-looking and strategic support of management to ensure realization of business objectives in Japan, and managing legal and compliance risks within Japan. While keeping the Company as the ultimate client, the Corporate Counsel will help drive strategy and successful execution of business plans. The Corporate Counsel will manage alignment across the APAC Region and with the global legal function to ensure achievement of the global legal function’s vision.

How you will do it
The responsibilities listed below are typical examples of work performed by the Corporate Counsel. They are not designed to contain or be interpreted as a comprehensive inventory of all duties, tasks, and responsibilities. The Corporate Counsel may also perform other duties as assigned.
  1. Works hand-in-hand with members of the APAC Regional legal and business leadership teams to ensure coordinated support to drive key projects and transactions, leveraging capabilities in Japan and throughout the APAC Region
  2. Works hand-in-hand with the APAC Region compliance team and ensures a robust delivery of compliance services to Japan
  3. Ensures that legal and compliance activities adhere to and adequately support the policies and enterprise strategies set by the Company
  4. Gains the trust and respect of the Company’s senior management by serving as a hands-on, pragmatic and strategic partner in business and legal decisions
  5. Reports on projects, opportunities, results, issues and concerns to the Legal Director, APAC, and other management leaders of applicable business units
  6. Maintains collaborative working relationship with global and APAC Regional legal leadership for Employment & Labor, Litigation, Compliance, Corporate Development, and Corporate Secretary Services
  7. Develops and maintains an expansive network with relevant stakeholders in Japan, the APAC Region and within the Corporate Headquarters, in order to navigate within a heavily matrixed organization, to foster collaborative decision-making and to gain consensus and internal approvals and avoid organizational disconnects
  8. Provides advice with respect to assessing both legal and reputational risks arising out of contemplated transactions
  9. Provides significant cross-functional collaboration with operational and functional leaders, line of business lawyers, compliance, tax, finance, treasury, risk management, labor and employment, real estate, IP, IT, litigation, EHS, corporate, and communications
  10. Effectively controls utilization of outside counsel to provide cost-effective legal services and ensures quality
  11. Is an energetic team member and “can do” lawyer. Promotes a collegiate and collaborative culture within the legal function and high levels of employee engagement and motivation
  12. Drives continuous improvement in the quality, delivery and cost of services to the Company

Best Practices:
To ensure an efficient and well managed legal department, the Corporate Counsel will be expected to demonstrate certain best practices established by the Company such as:
  • Involvement in the business and visibility to senior management. Regular participation in client meetings, travel to different business locations within Japan and occasionally elsewhere in the APAC Region is expected.
  • Effective communication with the different businesses and between the various stakeholders within the APAC and global legal team is essential.
  • An ability to manage and maintain budgetary control for both internal spend (such as travel, legal resources, translation) and external costs (such as outside counsel) for the department.

What we look for

Required

  • Graduate of a top law school in Japan or overseas

  • A licensed member of a Japanese bar association (preferred) or overseas bar association

  • A minimum of 12 – 15 years of progressive leadership and management experience in top tier law firms and in-house with global and publicly-traded companies. The successful candidate will have achieved excellent legal academic credentials and gained significant experience in a reputable firm in Japan. Previous experience overseas in legal practice would also be a strong advantage. 

  • Previous experience successfully counseling senior management, along with demonstrated ability to build relationships and positively influence outcomes 

  • Proven leadership in sophisticated deals and transactions in Japan and preferably throughout the APAC 

  • Strong leadership capabilities and experience in Japan and preferably throughout the APAC Region 

  • Experience leading cross-functional and/or global projects and driving and leading change in a business 

  • Ability to identify and escalate issues timely and appropriately 

  • Superior interpersonal, organizational and written and oral communication skills 

  • Ability to collaborate effectively with others in a matrix management structure 

  • Ability to translate the strategic goals and objectives of the Company into strategies and actioned priorities 

  • High level of understanding of compliance operations and delivery of compliance services in Japan, and preferably throughout the APAC Region 

  • Broad level of experience in the Japan and APAC as a generalist, and having particular high-level of experience and capabilities in relevant legal disciplines (M&A, Compliance, Product Distribution, Construction, Competition and Consumer Law, Commercial contracting, Disputes & Litigation, Employment, Data Protection & Privacy, EH&S, Sales & Marketing, Post- Sales & Services Issues, etc.) often encountered by a Company operating in our industries within Japan and APAC 

  • English language fluency (spoken and written) is necessary; a second language of the APAC Region is an advantage, but not necessary

  • Demonstrated ability and commitment to work in a fast-paced and energetic environment, ability to meet short-and long-term deadlines 

  • Proven ability to make tough decisions, take ownership, and provide solutions in often ambiguous circumstances 

  • Works effectively as a proactive team member of a regional and global team 

  • Strong analytical skills and demonstration of high degree of sophisticated judgment 

  • Strong business acumen with a commercial business-oriented approach to problem solving, tempered by an appreciation for legal complexity, ethics and risk 

  • Team player with strong sense of character, integrity, self-confidence and ethical leadership 

  • Strong interpersonal skills with the ability to stand firm on issues with business clients when necessary 

  • Must be flexible with the potential international travel required
