Legal Director, BSNA Performance Infrastructure

What you will do

Under broad direction from the Vice President and Assistant General Counsel, BSNA HVAC & Controls and Global Sustainability and working in close collaboration with members of the Building Solutions, N.A. (BSNA) Commercial Transactions legal team, the Legal Director will act as counsel for BSNA’s Performance Infrastructure (PI) business.  PI is one of Johnson Controls most transformative businesses, focused on helping our customers achieve their sustainability goals through innovative projects designed to save energy, increase performance and help chart the future through performance contracts, energy as a service contracts and public-private partnerships (P3).


How you will do it

  1. Provide legal advice across a full range of issues that confront the PI business and proactively identify and mitigate risks to the business, with a focus on commercial transactions.  PI has combined revenues of ~ $650M and ambitious growth targets, focusing on a broad range of energy solutions for Johnson Controls customers, including design and implementation of energy savings projects, retrofitting, energy conservation, energy infrastructure outsourcing, power generation and energy supply, and risk management.
  2. Review, draft and negotiate complex sales contracts for PI with both public sector and commercial customers, including energy performance contracts, energy as a service contracts, P3 contracts and other emerging building infrastructure or energy sector contracts.
  3. Counsel the PI business on current and emerging energy sector regulations and legislation, including those that impact performance contracting, energy service companies, infrastructure financing and P3 projects. 
  4. Build an organizational legal support structure, best business practices, policies and processes (including training and communication) to optimize resource allocation based on company and PI business needs, efficiency and risk reduction including external providers.
  5. Work directly with BSNA legal business partners, BSNA’s Commercial Transaction team, corporate center of excellence, regional legal teams and outside counsel to ensure cost-effective support of commercial transactions and other matters of strategic importance to PI.
  6. Under direction of you manager, periodically provide legal support to projects for our Global Sustainability Services + Solutions organization, focused on helping Johnson Controls customers find creative ways to achieve their net zero carbon and sustainability goals. 
  7. Identify and sponsor enterprise-wide initiatives that advance the company's legal function.
  8. Occasional domestic travel will be required to support PI effectively.


What we look for

  • J.D. degree with a minimum of 10 years of relevant experience with at least 4 years of in-house and/or law firm expertise ideally supporting: energy sector, energy performance contracts and/or complex construction contracting. 
  • Deep understanding of energy sector and construction contracting. 
  • Demonstrated capability for innovative thinking, challenging the status quo and leading organizational changes. 
  • Must have the credibility to function as a trusted advisor to the PI business leaders, while helping the business achieve its business plans while effectively managing risk. 
  • For this position, the qualified candidate will have a demonstrated interest and ideally experience in green energy sector contracting, including energy performance contracting, P3 and energy as a service contracting. 
  • Disciplined legal drafter/writer and possess a problem-solving, “can do” orientation with a demonstrated ability to simplify complex situations.  
  • Experience selecting and managing outside counsel is a plus. 
  • Must be fully licensed to practice law within the United States and able to practice in-house in Wisconsin. 
  • Ability to influence without authority and to work within a matrixed legal team are key attributes.
  • Ability to develop and sustain relationships with management at all levels across geographies and customer management skills are required. 
  • This position is located in Milwaukee, Wisconsin.
