What you will do
 

The BSNA business is a global leader in the sale of a wide range of building technologies and solutions, including building management systems, access, video and intrusion security systems, fire detection and suppression systems, and HVAC controls and equipment. 

The Legal Contracts Manager will work in close collaboration with the BSNA commercial transactions legal team and legal business partners to support the delivery of legal services to internal clients in North America.  Under minimal supervision, this position will assist and support (i) the negotiation and drafting of various agreements, including sales agreements, energy performance contracts, distribution, service agreements, procurement, construction and technology integration contracts, (ii) manage program management activities for functional programs, and (iii) assist with updating forms, tools and processes, as well as conducting contract and other field training.

The Legal Contracts Manager must be forward-looking with a “can do” orientation and willing to develop a deep understanding of the businesses they support.  They must demonstrate innovative thinking, work independently and proactively, and function as a trusted advisor to the attorneys and business team members they support. 

 
 
 
How you will do it
 
  • Assist and support the review, drafting and negotiations of various types of agreements, including sales agreements, energy performance contracts, distribution, service agreements, construction, and technology integration contracts in accordance with the company's policies.
  • Manage the contract review workflow tools.
  • Provide support to counsel on litigation and pre-litigation matters.
  • Take the lead in updating forms, development of tools, playbooks and processes, as well as conducting and coordinating training.
  • Provide support to counsel and business unit personnel as needed (e.g., transactional; due diligence; audits).
  • Prepare and organize documents for and assist in closing corporate/commercial transactions.
  • Manage large-scale Legal Department projects regionally and globally. 
  • Thorough knowledge of company policies, practices and organization.
  • Performs research and analysis for decision-making and presents synopsis.
  • Assists in management of outside counsel and internal reporting.
 

What we look for
 
Required
 
  • 8+ years of experience as certified paralegal or contracts manager with a law firm, agency or corporate law department or a Juris Doctorate degree with 2+ years of experience in commercial transactions.
  • Familiar with transactional and corporate legal work with preference for candidates demonstrating an expertise in complex commercial transactions.
  • Process-driven, detail oriented, self-motivated and analytical.
  • Effective oral and written communication and organization skills.
  • Self-starter with good problem solving skills and a client service focus.
  • Proficient in Microsoft Office Suite of products, with specific experience in Power Point, Excel and database creation and maintenance.
 
 
Preferred
 
  • Prior in-house experience or experience supporting contracts in the construction industry and/or manufacturing operations advantageous, but not required
