What you will do

Under broad direction from the Vice President and Assistant General Counsel, Commercial Transactions and working in close collaboration with senior members of the Building Solutions, N.A. (BSNA) legal team, the Senior Counsel will act as counsel for a group of BSNA Areas and for one or more above-the-market businesses. 

How you will do it
  1. Act as a member of the legal team providing legal support to a group of BSNA Areas with combined revenues of ~ $1B and providing legal support to our above the market businesses (Performance Infrastructure, Connected Technologies & Enterprise/Global Accounts).
  2. Provide legal advice across a full range of issues that confront product and sales businesses in the construction industry, including: complex commercial, litigation/disputes, software licensing, cybersecurity, systems integration, P3 contracts, performance contracts and performance contract legislation.
  3. Proactively identify and mitigate risks to the business, with a focus on commercial transactions.
  4. Review, draft and negotiate sales contracts that are either the highest revenue or highest degree of complexity, including but not limited to energy performance contracts, construction and technology integration contracts, supply agreements and enterprise wide accounts. 
  5. Responsible for counseling the business and managing disputes in the businesses they support. 
  6. Work collaboratively and develop internal team of contract managers and other professionals assuring delivery of cost-efficient and effective legal services across all BSNA domains. 
  7. Build organizational structure, best business practices, policies and processes (including training and communication) to optimize resource allocation based on company and business needs, efficiency and risk reduction including external providers.
  8. Train and guide clients across a full range of issues that confront product and sales businesses in the construction industry.
  9. Work directly with BSNA legal business partners, corporate center of excellence, regional legal teams and outside counsel to ensure cost-effective support of commercial transactions and other matters of strategic importance to BSNA. 
  10. Identify and sponsor enterprise-wide initiatives that advance the company's legal function.
  11. Domestic travel will be required to support BSNA.

The successful candidate will be a forward-looking lawyer, with a deep understanding of the businesses they support.  They must have demonstrated capability for innovative thinking, challenging the status quo and leading organizational changes.  They must have the credibility to function as a trusted advisor to the business leaders they support. 

  • For this position, the qualified candidate will have a demonstrated interest in products and service sales, the construction industry, complex commercial negotiations and helping businesses be successful in achieving their business plans. 
  • They must have a J.D. degree with a minimum of 10 years of relevant experience with at least 6 years of in-house and/or law firm expertise ideally supporting: complex contract negotiation in the construction industry, litigation/dispute resolution, sales, anti-competition, technology, and mergers and acquisitions. 
  • The successful candidate must be a disciplined legal drafter/writer and possess a problem-solving, “can do” orientation with a demonstrated ability to simplify complex situations. 
  • Experience selecting and managing outside counsel is a plus. 
  • Must be fully licensed to practice law within the United States and able to practice in-house in Wisconsin. 
  • Ability to influence without authority and to work within a matrixed legal team are key attributes.
  • Ability to develop and sustain relationships with management at all levels across geographies and customer management skills are required.
